These Terms & Conditions ("Terms") govern your use of the Virtuity Financial Partners client platform ("Platform") provided by Virtuity Financial Partners, Inc (d/b/a Virtuity Financial Partners) ("Company", "we", "us", or "our"), which sends the messages in the SMS Program and is responsible for your information. The Platform is operated on the Company's behalf by its service provider, AdaptExec. By accessing or using the Platform, you agree to these Terms.

1. Platform Use

The Platform is an internal tool for licensed financial professionals affiliated with Virtuity Financial Partners and for clients who have an established relationship with those professionals. Unauthorized use is prohibited.

2. SMS Messaging Program

Virtuity Financial Partners operates an SMS messaging program through the Platform (the "SMS Program"). By participating in the SMS Program, you agree to the following:

• Purpose: Messages are sent one-to-one from a dedicated phone number assigned to a specific named financial professional. Message content includes appointment reminders, meeting confirmations, and brief follow-up communications.
• Consent: Your financial professional may text you one-to-one, include you in a text to contacts they choose, and send service reminders such as appointment reminders after you have given them your mobile number. Texts to their team or to lists of phone numbers, and automated texts such as birthday greetings, are sent only after you opt in. Opt-in methods are documented at https://crm.virtuity.com/public/sms-opt-in.
• Frequency: Message frequency varies based on your engagement with your financial professional.
• Rates: Message and data rates may apply depending on your carrier plan.
• Opt-Out: Reply STOP at any time to immediately unsubscribe. You will receive one confirmation text, and no further messages will be sent.
• Help: Reply HELP for help, or email support@virtuitypartners.com.
• Mobile Data: Your mobile phone number will not be sold or shared with third parties for marketing purposes.

3. User Responsibilities

You agree not to:

• Use the Platform for unlawful purposes or in violation of any applicable laws
• Submit false or misleading information
• Attempt to gain unauthorized access to any part of the Platform or its systems
• Interfere with the operation of the Platform

4. Intellectual Property

All content, features, and functionality of the Platform are owned by Virtuity Financial Partners, Inc or its service provider, AdaptExec, and their licensors, and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

5. Privacy

Your use of the Platform is governed by our Privacy Policy (https://crm.virtuity.com/public/sms-privacy), which is incorporated into these Terms by reference.

6. Limitation of Liability

To the fullest extent permitted by law, neither Virtuity Financial Partners, Inc nor its service provider, AdaptExec, shall be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform or the SMS Program.

7. Modifications

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Continued use of the Platform after changes constitutes acceptance of the updated Terms.

8. Governing Law

These Terms are governed by the laws of the State of CA, without regard to its conflict of law provisions.
